Terms of Service

These terms govern the use of the Orqestro platform and the analytical materials it provides. Use of the platform constitutes unconditional acceptance of these terms. If you do not agree with any provision, please do not use the platform.

Acceptance of terms

By accessing the Orqestro platform and using its materials, the user confirms that they have read, understood, and unconditionally accept these terms. The terms apply to all visitors, registered users, and subscribers of the platform. Use of certain platform features may be additionally governed by individual agreements (NDAs, cooperation agreements, offers), which take precedence over these general terms in the matters they cover. In the event of a conflict between these terms and the provisions of the «Legal Disclaimer» document, the provision more restrictive to the user shall prevail.

Description of service

Orqestro is an institutional-grade analytical platform in the digital asset space. The platform provides:

  • market analytics, reports, and research;
  • metrics, charts, and visualizations of on-chain and spot market activity;
  • methodological materials on trading strategies;
  • public commentary on the state of the digital asset market.

The platform does not manage user capital, does not execute trading operations, does not accept deposits, and does not act as a broker, dealer, or investment advisor. The platform owes no fiduciary duties to its users. For details, see the «Legal Disclaimer» document.

Age restrictions and eligibility

The platform is intended exclusively for individuals who have reached the age of 18 (or the age of majority in the applicable jurisdiction, if higher). Use of the platform by individuals below this age is strictly prohibited.

By using the platform, the user represents and warrants that: (a) they have reached the required age; (b) they have full legal capacity to enter into a legally binding agreement; (c) they are not on any sanctions lists, are not residents of sanctioned jurisdictions, and are not violating any applicable restrictions on access to financial services.

Access and subscription

Access to the platform's materials is provided on a paid subscription basis. Subscription plans, the scope of provided materials, access periods, and pricing are determined individually and may differ for various categories of users. Specific commercial terms are recorded in a separate agreement or invoice.

A subscription grants the user a limited, non-exclusive, non-transferable, revocable right to access the platform's materials during the paid period. Subscriptions are non-refundable except as expressly required by applicable law or by individual agreement.

The platform reserves the right to modify subscription plans, the scope of materials, methodology, availability of certain features, and access conditions at any time, with prior notice through the website or email. Continued use of the platform following such modifications constitutes acceptance of the new terms.

Account and user obligations

When registering and using the platform, the user agrees to:

  • provide accurate, current, and complete information about themselves;
  • promptly update account information when it changes;
  • maintain the security of account credentials and not share them with third parties;
  • not allow simultaneous use of a single account by multiple persons;
  • immediately notify the platform of any unauthorized access or suspicious activity;
  • comply with these terms and applicable law when using the platform.

The user bears full responsibility for all actions performed using their account, regardless of whether such actions were authorized by the user. The platform bears no responsibility for losses resulting from compromise of user credentials.

Prohibited activities

When using the platform, the following actions are strictly prohibited:

  • automated collection of materials (parsing, scraping, use of bots) without explicit written permission;
  • reproduction, copying, distribution, publication, or commercial use of platform materials beyond the scope of the subscription;
  • resale, transfer, or sublicensing of access to third parties;
  • reverse engineering, decompilation, disassembly of the platform, or attempts to obtain its source code;
  • creation of derivative analytical products based on platform materials;
  • market manipulation, insider trading, or other improper trading practices based on platform materials;
  • use of the platform for money laundering, terrorism financing, or other illegal activity;
  • collection, processing, or use of information about other platform users;
  • actions aimed at disrupting platform operations (DDoS attacks, exploitation of vulnerabilities, attempts at unauthorized access);
  • transmission through the platform of malicious code, viruses, spyware;
  • circumvention of technical protection measures, geographic restrictions, or access restrictions;
  • impersonation of another person, platform representative, or organization;
  • use of platform materials for purposes that violate applicable law of the user's country of residence or any other applicable jurisdiction.

Violation of any of the above prohibitions constitutes grounds for immediate termination of access without refund of paid amounts and may result in legal liability of the user.

Intellectual property

All materials made available on the Orqestro platform — including, but not limited to: texts, analytical reports, charts, visualizations, methodologies, software code, interface design, databases, logos, trademarks, the Orqestro brand name, and the orqestro.com domain — are the exclusive intellectual property of Orqestro or are used on the basis of lawful rights.

A subscription grants the user solely a limited, non-exclusive, non-transferable, revocable right to access materials for personal non-commercial use. The subscription does not transfer to the user any ownership rights, exclusive rights, trademark usage rights, or rights to create derivative works.

Any use of Orqestro's intellectual property beyond the scope of the subscription requires prior written permission. Infringement of intellectual property rights shall result in liability under applicable law.

Termination

Orqestro reserves the right, at its sole discretion and without prior notice, to suspend or terminate user access to materials in cases of:

  • violation of these terms or individual agreements;
  • non-payment of subscription fees within the established period;
  • provision of inaccurate information during registration;
  • actions causing harm to the platform, its users, or third parties;
  • suspicion of illegal activity;
  • receipt of demands from authorized governmental authorities;
  • for any other reason, without obligation to provide explanation.

The user may terminate their use of the platform at any time by ceasing access and/or providing appropriate notice. Termination of access does not release the user from obligations arising prior to termination. Provisions of these terms which by their nature should survive termination (including but not limited to: intellectual property, limitation of liability, indemnification, confidentiality, dispute resolution) shall remain in force after termination.

Indemnification

The user agrees to indemnify, defend, and hold harmless Orqestro, its representatives, employees, contractors, agents, and affiliated parties from any claims, lawsuits, demands, expenses, damages, and liabilities — including reasonable legal fees — arising in connection with:

  • the user's violation of these terms;
  • the user's violation of third-party rights, including intellectual property rights, privacy rights, consumer rights;
  • the user's violation of applicable law, including tax, currency control, anti-money laundering legislation;
  • the user's actions or omissions in using the platform;
  • the user's trading, investment, or other financial decisions made using platform materials;
  • unauthorized access to the user's account resulting from compromise of their credentials.

Orqestro reserves the right, at its sole discretion, to assume exclusive control of the defense against any such claim, in which case the user agrees to cooperate in such defense.

Disclaimer of warranties

The Orqestro platform and all of its materials are provided «AS IS» and «AS AVAILABLE», without any express or implied warranties of any kind. To the maximum extent permitted by applicable law, Orqestro disclaims all warranties — including but not limited to: warranties of merchantability, fitness for a particular purpose, non-infringement, security, accuracy, completeness, timeliness, uninterrupted operation, error-free performance, absence of viruses or other malicious components.

Orqestro does not warrant that: (a) the platform will operate without failures or interruptions; (b) the platform's materials will be current or meet user expectations; (c) errors in materials will be corrected; (d) use of the platform will result in any financial or other outcomes. Any information obtained by the user through the platform does not create any warranties not expressly stated in these terms.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Orqestro and its representatives, employees, contractors, agents, and affiliated parties SHALL NOT BE LIABLE for any direct, indirect, incidental, special, punitive, or consequential damages — including but not limited to: lost profits, lost revenue, lost data, lost trading opportunities, loss of reputation, moral damages — arising in connection with the use of or inability to use the platform, regardless of whether the claims are based on contract, tort, negligence, strict liability, or any other legal theory.

Orqestro's aggregate liability to the user for any claims related to the use of the platform shall be limited to the amount actually paid by the user for the subscription during the twelve (12) months preceding the event giving rise to the claim, or one hundred (100) US dollars — whichever is less.

These limitations apply even if Orqestro has been advised of the possibility of such damages and even if any remedy fails of its essential purpose.

Force majeure

Orqestro shall not be liable for non-performance or delayed performance of obligations caused by circumstances of force majeure beyond Orqestro's reasonable control, including:

  • natural disasters, fires, floods, earthquakes;
  • military actions, armed conflicts, terrorist acts, civil unrest;
  • sanctions, embargoes, actions of governmental authorities and regulators;
  • internet infrastructure failures, power outages, hosting provider failures;
  • failures or discontinuation of exchange APIs, blockchain networks, market data providers;
  • cyberattacks, including DDoS, ransomware, exploitation of third-party service vulnerabilities;
  • pandemics, epidemics, quarantines, and related restrictions;
  • changes in applicable law making continued provision of the service impossible.

During force majeure events, Orqestro will use reasonable efforts to resume normal operations. Refunds for downtime caused by force majeure are not provided.

Geographic restrictions and sanctions

The Orqestro platform is provided globally, however access may be restricted or prohibited in certain jurisdictions. The platform is not intended for use and does not provide services to:

  • persons on sanctions lists of the United Nations Security Council, EU, United Kingdom, United States (OFAC), or other applicable jurisdictions;
  • residents and persons located in territories subject to comprehensive sanctions (as of the date of these terms — Cuba, Iran, North Korea, Syria, certain regions of Ukraine);
  • persons whose use of the platform is prohibited by the law of their country of residence or tax residency;
  • persons who have previously been banned from using the platform.

The user is solely responsible for compliance with applicable sanctions regimes and local law. If use of the platform violates applicable restrictions, full responsibility for such use rests with the user. Orqestro reserves the right to verify user status and terminate access upon detection of violations.

Taxes

All taxes, fees, and mandatory payments associated with the use of the platform, the user's investment decisions, and their financial operations are the sole responsibility of the user. Orqestro does not provide tax advice and does not guarantee the tax efficiency of any strategies described in platform materials.

Subscription fees are stated exclusive of applicable taxes (VAT, GST, sales tax, and others), which may be added to the invoice in accordance with applicable law. Users are advised to consult an independent tax professional regarding the taxation of digital asset transactions.

Modifications, disputes, and miscellaneous provisions

This section includes provisions governing modifications to terms, dispute resolution, applicable law, and other general matters:

  • Modifications — these terms may be updated at any time without prior notice. The current version is available at orqestro.com/terms. Continued use of the platform following modifications constitutes acceptance of the new version.
  • Dispute Resolution — all disputes shall first be resolved through negotiation. If agreement is not reached within 30 (thirty) days, the dispute shall be resolved in the court at the place of residence of the rights holder in accordance with applicable law.
  • Class Action Waiver — the user agrees that all disputes with Orqestro shall be resolved exclusively on an individual basis. The user waives participation in class actions and group proceedings to the maximum extent permitted by applicable law.
  • Severability — if any provision of these terms is found to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary, or shall be deemed excluded; the remaining provisions shall remain in full force.
  • Assignment — the user may not assign their rights and obligations under these terms without Orqestro's written consent. Orqestro may assign its rights and obligations to any successor without user consent.
  • Notices — all notices to the user shall be sent to the email address provided at registration or published on the platform website. Notices to Orqestro shall be sent through the contact form or other communication channel designated by the platform.
  • Entire Agreement — these terms (together with the «Legal Disclaimer» document, the cookie policy, and applicable individual agreements) constitute the entire agreement between the user and Orqestro and supersede all prior understandings on the subject matter.

Failure by Orqestro to immediately enforce any provision of these terms does not constitute a waiver of such enforcement in the future.

Applicability and Document Version

These terms apply to all use of the Orqestro platform from the moment of their publication until they are replaced by a new version. The terms are drafted in Russian and English; in the event of discrepancies, the version in the language selected when entering into an individual agreement shall prevail, or the English version if not otherwise specified by the individual agreement.
